Important: this page is an English convenience translation of the French terms available at zeroframe.studio/cgv. The French version is the contractual reference unless the signed quote expressly states otherwise or mandatory law requires a different result.

1. Scope

These terms govern website creation, redesign, technical hosting and maintenance services provided by Simon Andrieu, trading as Zero Frame, to professional clients in France and abroad. The signed quote defines the selected plan, any initial term, options, deliverables and price.

2. Provider

3. Mockup, quote and order

The first mockup is free and does not commit the client.
The quote is valid for 30 days unless otherwise stated.
The order becomes binding when the quote is accepted, subject to any mandatory withdrawal rights.
Work outside the quoted scope is priced and approved before it is carried out.

4. Pricing and payment

Essential: €50/month. Business: €100/month.
12-month option: no creation fee; the build is amortised through the monthly payments.
Flexible option: no minimum term, with a one-time creation fee of €250 for Essential or €500 for Business.
Custom projects and extras are quoted separately.
Monthly fees are billed in advance. One-time creation fees and extras are due when the project starts after mockup approval, subject to any mandatory cooling-off rules.
Cross-border tax treatment and invoice wording are adapted to the applicable rules and the client's tax status.

5. Withdrawal and mandatory rights

For qualifying French professional clients, Article L221-3 of the French Consumer Code extends certain consumer protections to some off-premises B2B contracts when the contract is outside the client's principal activity and the client employs no more than five employees. A purely remote B2B contract is not automatically covered by that rule. Any mandatory rights that apply in the client's country remain unaffected.

6. Client responsibilities

The client supplies the information, content, images, logos and access needed for the project and confirms they have the necessary rights to use them. Delays caused by missing client content may extend delivery times.

7. Revisions and monthly changes

The build phase includes two revision rounds unless the quote says otherwise.
Essential includes up to 15 minutes of small content changes per month.
Business includes up to 30 minutes per month.
Unused update time does not roll over.
Extra time is billed at €45/hour in 30-minute increments after approval.

8. Delivery and maintenance

Indicative delivery is usually 5–10 business days for Essential and 2–3 weeks for Business after the required content and approvals are received. During an active subscription, Zero Frame provides the hosting described in the quote, reasonable site monitoring and correction of technical defects affecting the delivered work.

9. Intellectual property

For the 12-month no-creation-fee option, ownership of the specifically created website elements transfers after all 12 initial monthly payments have been made. For the flexible option, transfer takes effect once the creation fee and amounts due at delivery are fully paid. Third-party components remain subject to their own licences. Once ownership has transferred, the client can request the site files for migration to another provider.

10. Domain, hosting and third-party services

The domain is registered in the client's name whenever technically possible and remains theirs. Standard hosting is included while the subscription is active. Third-party subscriptions, licences and transaction fees are paid by the client unless the quote states otherwise.

11. Subscription term and cancellation

12-month option: fixed initial period of 12 months. Monthly payments remain due through the end of that initial period if the client cancels early without serious provider breach.
Flexible option: no minimum term; cancellation is possible with 30 days' written notice.
After the initial 12 months, the subscription continues month-to-month and can be cancelled with 30 days' written notice.
Hosting and maintenance end when the subscription ends unless otherwise agreed.

12. Liability

Zero Frame provides services on a reasonable-efforts basis and does not guarantee search-engine ranking, traffic, sales or commercial results. Liability is subject to the limitations in the French terms and any mandatory law that cannot be excluded.

13. Personal data

Client personal data is handled as described in the English legal notice and the French legal notice. Where a delivered website collects personal data for the client, responsibilities are set out in the quote and applicable data-protection law.

14. Termination for breach

If either party commits a serious breach and does not remedy it within 15 days after a sufficiently detailed written notice, the other party may terminate the contract. Future 12-month instalments do not become due when termination results from a serious breach by Zero Frame.

15. Governing law and disputes

The French terms provide for French law and an attempt at amicable resolution before court proceedings, subject to any mandatory rules that cannot lawfully be displaced for an international client.
